Course Description

This course is designed to illustrate legal and regulatory environment of business operation and management with international and comparative perspective (mainly the U.S. and China). We will study and discuss the following topics:

  • Law and Business Decision: Why is law important to management?

  • Establishing a Business: How to establish a business?

  • Corporate Governance: How to manage a company (within the law)?

  • Private Property Protection: How to protect private property?

  • Intellectual Property: How to protect and use IP legally?

  • Contract: How to deal with other traders in the market?

  • Consumer Protection: How to deal with the consumers?

  • Labor Protection: How to deal with your employer or employees?

  • Antimonopoly: How does law regulate competition activities?

For each topic, the teaching is composed of two parts. The first part is to introduce some common or general law rules with important implications for management which may be applicable in most countries. The second part is to focus on China. For many issues, the teaching will compare China with the U.S. or other western countries.

The interdiction is about two different law systems in the civilization world, common law and statutory law. It’s strange for me, as I only know “do not breach the law” in my daily life. It’s sophisticated, because it seems so far away from me. But it’s showing me the perspective that how the law is being constituted and being constructed under the two systems.

Through the course, many of the cases study connected to the business and law, such as the ZET case analytical for why is forbidding to trade with some of the companies for some specific area. What is being the consequence for breaching the rules.

Never know that, partnership comes with different limitation and liabilities. Believe me, you will be very familiar for different advantage and disadvantages from General Partnership, Limited Partnership and Limited Liability Partnership, also the different corporation such as C, S LLP. Because there are many dynamic communication from Professor Wang in the class. I think I will forget more of these latter, as it’s not into my daily lift, but once that comes into my work or my life I will know where to get the reference and what is key issue we need to focus.

What I found the most interesting part is presentation from each group. There are case analysis from our team and other team will challenge our stand of point. The beginning was very peaceful in the challenge section, but Professor Wang was trying to incentive the competition. It’s not about right or wrong, it’s about our critical thinking in connection to the legal legislation. At the end, all the teams were enjoy a lot no matter in defense side or the challenge side.

Many of the reading had been provide in the course, somehow, “The Protection of Private Property in China” is highly recommended for reading, it shows the close relationship for the economic development and the provide property protection legislation develop in the pass decades.

At the end, very appreciate Professor Wang’s coaching in the course. As I never think law is only rules and long hard sentences, but in Professor Wang’s class I just found that the critical thinking is being incept in my mind.

提及到法律或法律课，大家的初始印象应该是刻板和枯燥。在学习王教授的商法课之前，我也是这样的一个固定思维的认知。然而，当结束了短短的两个周末的商法课学习，仍觉意犹未尽。皆因王教授的课程既紧张活泼，生动有趣，又引人入胜。

对于我们初学商法的商学院学生而言，看待法律问题往往会先入为主地只从商业经济角度出发，缺乏对法律基本体系和重要规则的思维把握。用法律思维结合经管知识进行共同思考，是学习好商法的一个很重要的思维方式。这也是王教授在课堂上最初提出的一个重要思路。

贯穿王教授整个授课过程，一个很大的侧重点是他与同学们的互动频率非常高，这样就鼓励了同学深度参与了案例的讨论和分析。与此同时，王教授还非常注重引导大家多思、多问、多讨论、多发言，鼓励大家用自己已经掌握的经管知识以及管理实践结合新学的法律思维，通过把自己代入案例当事人或法官的角色，来解析和评价各个案例的法律规则和法官的判决。

王教授的课程里，还有一项很重要的安排就是分小组对特定的案例进行陈述和辩论。由于各小组里每个人都要进行演讲，这就要求大家必须要做好查阅大量相关材料的准备，预先进行各问题点的思考，同时与组员进行充分讨论。三人行必有我师，只有多与你的组员相互学习和讨论，才能完成最终的演讲辩论要求。

综合而言，课前阅读和思考各章节的相关的案例和问题，课堂内积极参与和教授的互动讨论，多与同学们相互学习和讨论，这几点对学习好商法课会有很大的帮助。
